Ocean Fresh

Business Development Bank of Canada obtained a Court Order on 10 September 2008 appointing BDO Dunwoody Limited Interim Receiver and Receiver and Manager, under the Courts of Justice Act and the Bankruptcy and Insolvency, of Act of York Fish Company Inc., 2102454 Ontario Inc., 2110109 Ontario Inc., 2142863 Ontario Ltd., Morad Shaikh-Ol-Islami aka Morad Shain.

BDO Dunwoody Limited was also authorized to conduct a sales process for the property and facilities of 2110109 Ontario Inc. (o/a Oceanfresh) & 2142863 Ontario Ltd. (the "Companies") including the land and building located at 3 Edvac Drive, Brampton, Ontario (the "Facilities").

These facilities are offered for sale on an "as is, where is" basis without any representations or warranties from the Interim Receiver under a process that is subject to court approval and terms and conditions available from the Vendor.

The Facilities include this special purpose building in a prime location in east Brampton, specifically designed and built for the refrigerated storage only 5 years ago. It is situated on approximately 2 acres of land, providing room for expansion. The existing 26,000 sq. ft. building accommodates approximately 10,000 sq. ft. of freezer and 1,800 sq. ft. of cooler as well as food processing, warehouse and office space and its design features include metal clad insulated concrete construction, glycol floor system, five shipping doors, and approved drain systems. The Facilities are recognized in Canada and the United States, as meeting the requirements of the Canadian Food Inspection Agency for HACPP certification and of the United States Food and Drug Administration's Seafood HACCP regulations. The certification is, however, issued in the name of Oceanfresh Packaging International Corp., ("OFPI") as a separate entity operating from the facilities. Grant Thornton Limited has been appointed as the court appointed Interim Receiver of OFPI under a separate order. While BDO Dunwoody Limited, as Interim Receiver of 2110109 Ontario Inc. (o/a Oceanfresh) & 2142863 Ontario Ltd. anticipates it will have the cooperation of Grant Thornton as Interim Receiver of OFPI, and the support of the courts, it does not have the authority to deal directly with the rights and interests, if any, of OFPI in any property. To the extent a purchaser wishes to also purchase the rights, title and interests of OFPI, a separate agreement, and possibly even a separate application to the court, may be required.
